What are the requirements to incorporate or form an LLC in Delaware?

In addition to filing a Certificate of Incorporation or Certificate of Formation, Delaware requires that every corporation or LLC:

  • Obtain a Federal Identification Number (FEIN)
  • Obtain one or more Delaware business licenses
  • File an Annual Report with the State of Delaware. An Annual fee - generally no more than $300 for small businesses is due to the State.
