Virginia — An alert on the Virginia State Corporation Commission’s website warns Virginia corporations and LLCs of mailings being sent from either of two private organizations - the Virginia Council for Corporations or U.S. Business Services - that offer to prepare, for a fee “corporate consent records in lieu of meeting minutes”. The alert states that the documents provided by these organizations are not required by Virginia law, are not authorized by the Commission, and will not be accepted for filing with the Commission.
