Virginia Alert to Business Entities Regarding Transition To New Filing System

Virginia — The Virginia State Corporation Commission is going live with its new online filing system on Monday, November 25, 2019. The transition may impact many electronic filings and payments.

You may wish to take note of the following:

  • On Monday, November 25th at 7:00am ET, Virginia will stop taking all electronic payments except for XML UCC filings and new registrations
  • All eFiling options will stop on Monday, December 2nd at 7:00am ET.
  • Paper filings will be accepted at all points during the downtime.
  • All expedited services will be suspended from November 22nd to December 16th.
  • The new system will go live on Monday, December 9th. This new system will require an account to be created.
  • Virginia expects a backlog during the system change and expects very little evidence to be returned between 11/27 and 12/09. They are advising all customers to have any filings requiring a November file date to be submitted well in advance of the 11/27 date.
  • During the transition, Virginia will not be able to access their data from December 4th to December 6th. This means no good standings, no searches, no name availability, etc.
  • After going live, they expect to have periods of downtime over the next two weeks as they address issues immediately.

During their downtime, they will honor file dates in this manner:

  • UCC Filings will receive the file date of when they were received by Virginia
  • Business Entity Filings will receive the date of when they were processed and approved
