Get Ready: Delaware’s Downtime Starts September 3

For the first time since the 1980s, the Delaware Division of Corporations is performing a major technology platform upgrade—all businesses operating in Delaware are advised to plan ahead. 
 
Set to begin the Thursday before Labor Day, the conversion to a new system will include a comprehensive rewrite of the Division’s imaging, workflow, and data systems. These enhancements will improve speed, accuracy, and capabilities, allowing both Delaware and its network of Registered Agents to expand services in the future.
 
CT Tip:  Included in the migration are data and images documenting 116 years of Delaware corporate law filings.
 
All document filings and document orders will be impacted during the conversion: Delaware’s systems will be down “across the board,” so to speak, without exceptions.
 
Activities before and after the scheduled upgrade could also be impacted. For example, expedites and priority submissions are affected on Thursday, September 3, during the hours the office is open. They could also be affected during the weeks following re-opening.
 

State Office Hours in September

 
The Division has scheduled its conversion to the new system to span the Labor Day holiday weekend, in order to cause the least possible disruption. Delaware’s adjusted office hours in September are scheduled as follows:
 
  • CLOSING Thursday afternoon, September 3: The Division of Corporations will close for business at 4:30 p.m.(eastern) on Thursday, September 3, 2015.
  • REOPENING WITH SHORTENED HOURS Tuesday morning, September 8: The Division of Corporations is scheduled to reopen for business at 8:00 a.m. (eastern) on Tuesday, September 8, 2015. However, in order to perform enhancements during evening hours, shortened hours of operation are planned for several weeks after the upgrade. 
CT Tip: During shortened hours, certain “cut-offs” apply for turn-around times or other activities.
 

Plan Ahead

 
The Delaware Division of Corporations has respectfully asked everyone to plan ahead, as the downtime could impact business transactions worldwide.
 
For example, turn-around times before and after the downtime could differ from business as usual.
