Ohio – What Constitutes Doing Business

OhioStepp v. Proficient Transport, Inc., 2017 Ohio 8007 (decided 9/29/2017).  The Ohio Court of Appeals ruled that an Illinois corporation could not maintain a counterclaim because it failed to obtain a license to do business with the Secretary of State.  The corporation was doing business in Ohio by virtue of it having a facility and two of its eight employees there and where the counterclaim involved the sale of trucks in Ohio.
