New York — Buchovecky v. S & J Morrell, Inc., 2019 NY Slip Op 06269, decided August 22, 2019. The New York Supreme Court, Appellate Division affirmed dismissal of a counterclaim seeking to hold owners of an LLC liable for indemnification under an agreement between the LLC and defendant. Because the court found the LLC was not required to indemnify the defendants there was no basis for piercing the veil – a doctrine which assumes the entity itself is liable.
