Delaware — Marchand v. Barnhill, No. 533, 2018, decided June 18, 2019. The Delaware Supreme Court held that dismissal of the stockholder's Caremark claim was improper, as he pleaded facts supporting a fair inference that no reasonable compliance system and protocols were established, that the board of director's lack of efforts resulted in it not receiving official notices of food safety deficiencies, and that its failure to take remedial action exposed consumers to harm.
