California — Hernandez v. Enterprise Rent-A-Car, A152703, decided July 8, 2019. The California Court of Appeal held that the defendant corporation was not liable as a successor to an asset seller where the seller continued to exist after it sold its assets, and then merged into another corporation, and where therefore the asset sale did not destroy or diminish the plaintiff’s remedies against the asset seller or the merger survivor.
